Kapsch TrafficCom reaches agreement with its major financial creditors on key terms of a restructuring.

Vienna, July 26, 2026  –   Kapsch TrafficCom AG (ISIN: AT000KAPSCH9; the “Company”) has concluded a standstill agreement and a binding term sheet with its major financial creditors (lenders and promissory note creditors) as the basis for a comprehensive restructuring agreement with a term ending on March 31, 2028. The financing terms have been tightened, and a suspension of ongoing principal repayments through March 31, 2028, has been agreed upon; in addition to conditions precedent customary in restructuring agreements, the Company has committed to early repayments from excess cash (cash sweep) and from extraordinary inflows, as well as to forgoing dividend distributions. The Company’s dividend policy therefore remains suspended. Furthermore, the Company will continue to implement comprehensive cost-saving and efficiency-enhancing measures. In addition, the Company plans to divest assets from its business portfolio and is also exploring ways to strengthen its capital base. To support the restructuring, the Company plans to appoint Mr. Markus Richter as Chief Financial Officer; as a proven expert, he is expected to play a key role in overseeing the implementation of the restructuring process.

Kapsch TrafficCom signs agreement on the sale of a majority stake in German subsidiary and is therefore expecting a significant impact on EBIT.

Vienna, July 8, 2026  –  The Executive Board of Kapsch TrafficCom AG (ISIN: AT000KAPSCH9, hereinafter also referred to as the “Company” ) announces that the Company has signed a transaction agreement on the sale of a majority stake in tolltickets GmbH with its seat in Rosenheim, Germany, and this transaction will have, from today's perspective, a positive impact on the Company's consolidated operating result (EBIT) due to the resulting deconsolidation (one-time effect), which is currently estimated to be in the range of approximately EUR 10 million. Kapsch TrafficCom has signed a transaction agreement on the sale of a majority stake in tolltickets GmbH with its seat in Rosenheim, Germany. The transaction is subject to conditions precedent, inter alia obtaining the necessary approvals from authorities. Closing will, therefore, only take place once all conditions precedent have been fulfilled and is, from today's perspective, expected to occur until the end of the year. The agreed consideration would be payable upon closing. Provided that closing takes place and the inflow currently expected is realized, the transaction would have a one-time positive impact on the Company's consolidated operating result (EBIT) due to the resulting deconsolidation, which is currently estimated to be in the range of approximately EUR 10 million. The parties have agreed to not disclose details of the transaction.

Kapsch TrafficCom AG: Preliminary business figures for the first three quarters of the financial year significantly short of expectations and revision of the outlook for the financial year 2025/26.

Vienna, February 16, 2026  –  Following an analysis of preliminary business figures for the first three quarters of the financial year 2025/26, the Management Board of Kapsch TrafficCom AG (ISIN: AT000KAPSCH9) announces that revenues and earnings before interest and taxes (EBIT) fall significantly short of expectations. It is necessary to adjust the outlook for the financial year 2025/26. Accordingly, preliminary revenues of around EUR 307 million and EBIT of around EUR 12 million are expected for the first three quarters of the financial year 2025/26. EBIT includes a positive one-off effect of around EUR 23 million from the first quarter. The tolling market is showing a drastic and unexpectedly severe weakness on a global scale. Furthermore, there were customer-related delays in starts and executions of projects. The relatively strong order intake over the past ten months  –  despite the challenging market situation - will contribute to revenues only in the financial year 2026/27 and the following years. This has corresponding effects on the expected operating results. The outlook for the financial year 2025/26 is therefore being revised. The Management Board of Kapsch TrafficCom AG now expects revenues in the range of approximately EUR 420 million (previously around EUR 450 million) and EBIT in the range of approximately EUR 7 million (previously around EUR 25 million). Kapsch TrafficCom therefore continues to place a strong focus on cost adjustments, although these will not take full effect until the next financial year.

Vienna, October 27, 2025  –  Following an analysis of preliminary business figures as part of the preparation of the half-year financial report, the Management Board of Kapsch TrafficCom AG (ISIN: AT000KAPSCH9) announces that the half-year figures for revenues and earnings before interest and taxes (EBIT) fall significantly short of expectations. It is necessary to adjust the outlook for the financial year 2025/26. Accordingly, preliminary revenues of around EUR 200 million  and EBIT of around EUR 10 million are expected for the first half of the financial year 2025/26. EBIT includes a positive one-off effect of around EUR 23 million from the first quarter. The primary factors contributing to these outcomes are the generally challenging market conditions: In this context, some large project tenders are being delayed. Furthermore, expected projects were not won. The outlook for the financial year 2025/26 is therefore being revised. The Management Board of Kapsch TrafficCom AG now expects revenues in the order of around EUR 450 million (previously around EUR 510 million) and EBIT in the order of around EUR 25 million (previously around EUR 45 million).

Kapsch TrafficCom AG: Subsidiary will receive around EUR 27 mio from arbitration proceedings against the Federal Republic of Germany and Kapsch TrafficCom specifies outlook for financial year 2025/26.

Vienna, June 27, 2025 - The Executive Board of Kapsch TrafficCom AG ( ISIN: AT000KAPSCH9) announces that MTS Maut & Telematik Services GmbH, a fully consolidated subsidiary of Kapsch TrafficCom AG, will receive a payment in the amount of around EUR 27 million as a result of a settlement agreement with the Federal Republic of Germany to end the arbitration proceedings conducted due to the termination of a contract for the automatic control of an infrastructure charge ("passenger vehicle toll"). The settlement agreement is expected to be finally executed by the arbitral tribunal in the coming days and thus becomes effective. With the payment of the amount of around EUR 27 million to MTS Maut & Telematik Services GmbH by the Federal Republic of Germany, the reciprocal claims arising from the contract for the planning, development, construction, operation and maintenance of the automatic control system of the infrastructure charge will have been settled. Taking into account the expected inflow of around EUR 27 million from these arbitration proceedings, the outlook for financial year 2025/26 is specified and the management of Kapsch TrafficCom AG now expects unchanged revenues of around EUR 510 million and an operating result (EBIT) in the order of around EUR 45 million, whereby additional positive one-off effects are possible in the course of the financial year.

Kapsch TrafficCom AG divested its majority shareholding in and ceded control of Kapsch Telematic Services IOOO, Belarus, but remains substantially economically entitled to its business success.

Kapsch TrafficCom AG announces that it has relinquished control and the majority of voting rights in Kapsch Telematic Services IOOO, based in Belarus, which operates the nationwide tolling system in Belarus. The Company now holds less than 50% of the shares in Kapsch Telematic Services IOOO. The parties have agreed not to disclose the details of the transaction.
